Privacy Policy
1. Agreement to Terms
These Terms of Service (“Terms”) are a legally binding agreement between you, whether personally or on behalf of an organization (“you”), and [Legal entity name], doing business as Plain Sight Advisors (“Plain Sight Advisors,” “we,” “us,” or “our”). They govern your access to and use of [website URL] and any related pages, forms, and tools (together, the “Site”).
By using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please stop using the Site.
We may update these Terms from time to time. When we do, we will change the “Last updated” date above. Your continued use of the Site after an update means you accept the revised Terms, so please review this page periodically.
The Site is not intended for use in any place where that use would be contrary to local law. If you access the Site from outside the United States, you are responsible for complying with the laws that apply to you.
2. About the Site and Our Services
Plain Sight Advisors helps public agencies, healthcare organizations, and companies see how work actually moves through their organizations, including through our SoftS Map, SoftS Quick Start, and related advisory work. Plain Sight Advisors is part of Collaborative Commons, a network of practitioners.
The Site is provided to share information about who we are and how we work, and to let you start a conversation with us. Nothing on the Site is an offer to provide services on particular terms. Any consulting engagement, workshop, or deliverable is governed by a separate written agreement between you (or your organization) and us. If that agreement conflicts with these Terms, the written agreement controls for the services it covers.
3. No Professional Advice and No Guarantee of Results
Content on the Site is for general information only. It is not legal, financial, human resources, medical, regulatory, or compliance advice, and it does not create a consulting, advisory, or professional relationship between you and us. Please obtain advice from a qualified professional before acting on anything you read here.
Descriptions of our method, case stories, statistics, and testimonials illustrate work done for specific organizations. Every organization is different, and we do not promise that you will achieve the same or any particular results.
4. Eligibility
The Site is intended for business and professional visitors who are at least 18 years old and have the legal capacity to agree to these Terms. If you use the Site on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.
5. Intellectual Property
Unless otherwise noted, the Site and everything on it, including text, graphics, photographs, designs, source code, frameworks, process descriptions, and methodology materials (the “Content”), as well as the Plain Sight Advisors name and logo, the SoftS name, and related trademarks, service marks, and logos (the “Marks”), are owned or controlled by us or our licensors. They are protected by copyright, trademark, and other intellectual property laws.
You may view the Site and print or download a copy of Content for your own internal, non-commercial use, provided you keep all copyright and other proprietary notices intact. Except as expressly allowed in these Terms or by us in writing, you may not copy, reproduce, republish, modify, distribute, sell, license, or otherwise exploit any Content or Marks, or use our methodology to deliver services to others.
We reserve all rights not expressly granted to you.
6. Acceptable Use
You agree to use the Site only for lawful purposes and in line with these Terms. You agree not to:
- use the Site in any way that violates applicable law or regulation;
- scrape, harvest, or systematically retrieve Content or data from the Site, or use bots, spiders, scripts, or other automated tools to access it, except for standard search engine or browser use;
- interfere with, disrupt, or place an undue burden on the Site, its servers, or connected networks;
- attempt to bypass, disable, or circumvent any security or access-control feature of the Site;
- decompile, reverse engineer, or attempt to extract the source code of any part of the Site;
- upload or transmit viruses, malware, or any code intended to damage or gain unauthorized access to the Site or its users;
- impersonate another person or organization, or misrepresent your affiliation with any person or organization;
- use the Site or Content to build a competing product or service, or for any commercial purpose we have not approved;
- frame the Site or link to it in a way that suggests we endorse or are affiliated with you or your products without our permission; or
- harass, threaten, or abuse our team members or anyone connected with us.
7. Inquiries and Information You Send Us
The Site may let you contact us, book a conversation, or request a SoftS Quick Start. When you do, you agree to give us accurate and current information.
Please do not send confidential, privileged, or sensitive information through the Site, including personnel records, protected health information, or personal data about individuals. Contacting us or booking a call does not create a client relationship or a duty of confidentiality. Those arise only under a written agreement with us.
Questions, comments, ideas, and feedback you send us about the Site or our work (“Feedback”) are non-confidential. You grant us a perpetual, worldwide, royalty-free license to use Feedback for any lawful purpose without obligation to you. We handle personal information as described in our Privacy Policy.
8. Case Stories and Testimonials
The Site features case stories, quotes, and results from organizations we have worked with. They are shared with permission and reflect those individuals’ own experiences and opinions. They do not represent a guarantee of any outcome, and they do not necessarily reflect the views of every client or partner.
9. Third-Party Websites and Content
The Site may link to or embed third-party websites and tools, such as scheduling or video-conferencing services (together, “Third-Party Content”). We do not control, review, or endorse Third-Party Content and are not responsible for its accuracy, availability, or privacy practices. Your use of any third-party service is governed by that provider’s terms and policies, and you use it at your own risk.
10. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms. The Site is hosted in the United States. If you access it from another country, you understand that your information will be transferred to and processed in the United States.
The Site is not directed to children under 13, and we do not knowingly collect personal information from them.
11. Copyright Complaints
We respect the intellectual property rights of others. If you believe material on the Site infringes your copyright, please send a written notice to [Designated agent name / email / mailing address] that includes:
- your physical or electronic signature;
- identification of the copyrighted work you claim has been infringed;
- identification of the material you claim is infringing and where it appears on the Site;
- your contact information;
- a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
- a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act for the copyright owner.
If you are unsure whether material infringes your copyright, consider speaking with an attorney first, as false claims can carry liability.
12. Modifications and Interruptions
We may change, suspend, or discontinue any part of the Site at any time without notice. We do not guarantee the Site will always be available and are not liable for any modification, suspension, downtime, or discontinuance. We are not obligated to update or maintain the Site.
13. Termination
We may restrict or block your access to the Site at any time, including for breach of these Terms, and without notice or liability. These Terms remain in effect for as long as you use the Site. Sections that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
14. Governing Law
These Terms and your use of the Site are governed by the laws of the State of [State], without regard to its conflict-of-law principles.
15. Dispute Resolution
Informal resolution first. If a dispute arises out of or relates to these Terms or the Site, you and we agree to try to resolve it informally. Either party may start this process by sending written notice to the other, and both will negotiate in good faith for at least [30] days before starting any formal proceeding.
Courts. If the dispute is not resolved, it will be brought only in the state or federal courts located in [County] County, [State], and you and we consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum.
Time limit. To the extent permitted by law, any claim related to the Site must be brought within [one (1)] year after the cause of action arose.
Exclusions. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply to these Terms. Nothing in this section prevents either party from seeking injunctive relief to protect its intellectual property rights.
16. Corrections
The Site may contain typographical errors, inaccuracies, or omissions. We may correct them and update the Site at any time without notice.
17. Disclaimer
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
WE ARE NOT RESPONSIBLE FOR THIRD-PARTY WEBSITES OR CONTENT, FOR ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR INFORMATION STORED ON THEM, OR FOR ANY LOSS OR DAMAGE RESULTING FROM YOUR USE OF THE SITE. USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED [$100 / the amount you paid us, if any, for use of the Site in the preceding twelve (12) months]. THIS SECTION DOES NOT APPLY TO SERVICES PROVIDED UNDER A SEPARATE WRITTEN AGREEMENT, WHICH WILL HAVE ITS OWN TERMS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
19. Indemnification
You agree to defend, indemnify, and hold harmless Plain Sight Advisors, its affiliates, and its and their officers, partners, employees, and agents from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by a third party arising out of (1) your use of the Site, (2) your breach of these Terms, or (3) your violation of the rights of any third party, including intellectual property rights. We may, at your expense, assume the exclusive defense of any matter for which you must indemnify us, and you agree to cooperate with that defense. We will make reasonable efforts to notify you of any such claim.
20. Electronic Communications and Signatures
Visiting the Site, emailing us, and submitting online forms are electronic communications. You consent to receive communications from us electronically and agree that electronic notices, agreements, and records satisfy any legal requirement that they be in writing. You agree to the use of electronic signatures and records, and waive any requirement under any law for original signatures or non-electronic delivery.
21. California Users and Residents
If a complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
22. Miscellaneous
These Terms, together with our Privacy Policy and any policies posted on the Site, are the entire agreement between you and us regarding the Site. Our failure to enforce any right or provision is not a waiver of it. We may assign our rights and obligations under these Terms at any time. We are not liable for any delay or failure to act caused by events beyond our reasonable control.
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision is severed and the remaining provisions stay in effect. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us. These Terms will not be construed against us because we drafted them. You waive any defense based on the electronic form of these Terms or the lack of signatures.
